Artist Agreement

This Artist Agreement ("Agreement") is entered into between you ("Artist", "you", or "your") and Yollab ("Yollab", "we", "us", or "our"). By uploading designs to our platform at yollab.com (the "Platform"), you agree to be bound by the terms and conditions set forth in this Agreement.

1. Overview

Yollab operates a print-on-demand platform where artists can upload their designs to be printed on merchandise (T-shirts, Hoodies, and future products). Once approved, your designs will be published and sold on www.thestaticstore.com.

We handle all aspects of production, quality control, order fulfillment, shipping, and customer service. You focus on creating great designs and promoting your products.

2. Design Ownership and License

2.1 You Retain Ownership

You retain full copyright and ownership of your original designs. By uploading a design to the Platform, you do not transfer ownership to Yollab.

2.2 License to Yollab

By uploading a design, you grant Yollab a non-exclusive, worldwide, royalty-bearing license to:

• Reproduce your design on merchandise
• Display your design on our website and marketing materials
• Sell products featuring your design
• Create product mockups and promotional images
• Store and process your design files on our servers (AWS S3)

2.3 Right to Remove

You may request to remove your design from our store at any time by contacting us at contact@yollab.com. Upon receiving your request, we will cease selling new products with that design within 7 business days. However, previously sold items and orders already in production remain valid.

2.4 Artist Representations and Warranties

By uploading a design, you represent and warrant that:

• You own all rights to the design or have explicit permission to use it commercially
• The design does not infringe on any third-party intellectual property rights (copyright, trademark, etc.)
• The design does not contain defamatory, offensive, or illegal content
• The design does not violate any laws or regulations
• You have the legal authority to enter into this Agreement

3. Commission and Payment Terms

3.1 Commission Rate

You will earn a flat 15% commission on the sale price of each product sold featuring your design.

3.2 Commission Calculation

For Domestic (Indian) Sales:

For International Sales:

International orders incur additional shipping fees that are charged to the customer. Your commission is calculated only on the product price, not on the shipping fee.

3.3 Payment Process

Dashboard Updates: Your earnings are tracked in real-time on your creator dashboard. Whenever a product featuring your design is sold, your dashboard will be updated immediately with the sale details and commission earned.

Payout Requests: You may request a payout from your dashboard at any time. Upon your first payout request, we will collect your bank account details or UPI ID.

Payment Currency: All payouts are processed in Indian Rupees (INR) only.

Processing Time: Payouts are processed within 5-7 business days after your request is submitted.

3.4 Minimum Payout

There is currently no minimum payout threshold. However, we recommend accumulating at least ₹500 before requesting a payout to make the transfer more worthwhile.

3.5 Tax Responsibility

You are responsible for reporting and paying any applicable taxes on your earnings. Yollab does not deduct taxes from your commission payments. We may provide income statements for tax filing purposes upon request.

4. Design Submission and Review

4.1 Submission Requirements

Your designs must meet the following technical requirements:

• File format: PNG only
• Minimum resolution: 800x800 pixels
• Recommended resolution: 2000x2000 pixels or higher for best print quality
• One design per submission

4.2 Moderation Process

All design submissions are reviewed by our moderation team within 24-48 hours. We check for:

• Image quality and resolution
• Content appropriateness (no NSFW, offensive, or illegal content)
• Potential copyright or trademark issues
• Design placement and mockup quality

4.3 Approval and Rejection

If Approved: Your design is automatically published to www.thestaticstore.com. You will receive a unique product link that you can share on your social media channels, website, or any other platform.

If Rejected: You will be notified via your dashboard with a reason for rejection (e.g., "Image too Blurry", "Contains NSFW material"). You may resubmit an improved version of the design.

4.4 Right to Refuse

Yollab reserves the right to refuse any design submission at its sole discretion, including designs that may harm our brand reputation, violate third-party rights, or do not meet our quality standards.

5. Product Pricing

You set the sale price for your products within our defined price ranges:

• Unisex T-shirts: ₹549 - ₹999
• Unisex Hoodies: ₹999 - ₹1,999

These ranges are set to ensure competitive pricing while covering production costs and providing fair commission to artists.

6. Yollab's Responsibilities

Yollab agrees to:

• Host and maintain the Platform for design uploads and management
• Review and moderate design submissions in a timely manner
• Publish approved designs on www.thestaticstore.com
• Handle all production, printing, and quality control
• Manage order fulfillment, packaging, and shipping
• Provide customer service for product-related inquiries and issues
• Track sales and update your dashboard in real-time
• Process payout requests within the stated timeframe
• Store your design files securely on AWS S3

7. Artist's Responsibilities

As an Artist, you agree to:

• Upload only original designs or designs you have explicit permission to use commercially
• Ensure your designs do not infringe on third-party intellectual property rights
• Provide accurate information during registration and payout setup
• Comply with all applicable laws and regulations
• Not upload offensive, defamatory, or illegal content
• Promote your products ethically and honestly
• Respond to any copyright or trademark inquiries related to your designs

8. Termination

8.1 Termination by Artist

You may terminate this Agreement at any time by closing your account. Upon termination, you may request removal of all your designs from the store. We will process your request within 7 business days. Any outstanding commissions will be paid out according to our standard payout process.

8.2 Termination by Yollab

Yollab may terminate this Agreement and suspend or close your account if:

• You violate any terms of this Agreement
• Your designs infringe on third-party rights
• You engage in fraudulent or unethical behavior
• Your account remains inactive for more than 2 years

In the event of termination by Yollab, we will provide written notice and pay out any outstanding commissions within 30 days.

9. Limitation of Liability

Yollab is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform or sale of products featuring your designs. Our total liability to you shall not exceed the total commissions paid to you in the 12 months preceding any claim.

10. Indemnification

You agree to indemnify and hold harmless Yollab, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your designs or any copyright/trademark infringement claims related to your designs
• Your violation of this Agreement
• Your violation of any laws or regulations
• Any false or misleading information you provide

11. Changes to This Agreement

Yollab may update this Agreement from time to time. We will notify you of significant changes via email or a prominent notice on the Platform. Your continued use of the Platform after changes constitutes acceptance of the updated Agreement.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Vaishali, Uttar Pradesh, India.
